国际商务英语不以大众是否理解和接受为转移，它是合同语言准确表达的保障。英语合同用词具有高度的专业性，很多英语合同专业词不可用同意的其它词代替，这也是导致非专业做英语合同翻译时经常出现错误的原因。

英语合同中以下用词有固定的译法，不可随意用近义词或同意词代替：瑕疵defect;救济remedy;不可抗力forcemajeure/actofgod;管辖jurisdiction;损毁damage;灭失loss;损害赔偿indemnities，不用compensation";服务赔偿credit（对于不能达到合同约定服务等级时对服务费用的赔偿）;其他事项miscellaneous，不用othermatters/events"

因为"的短语多用byvirtueof"，远远多于dueto"一般不用becauseof"；财务年度末"一般用atthecloseofthefiscalyear"，而不用intheendofthefiscalyear"；在……之前"一般用priorto"，而不用before"；关于"常用asregards",concerning"或relatingto"，而不会用about"；事实上"用ineffect"，而不用infact"；开始"用commencement"，而不用start"或begin"；停止做"用ceasetodo"，而不用stoptodo"；理解合同"用construeacontract"或comprehendacontract"，而不用understandacontract"；认为"用deem",用consider"少，不用think"或believe"；愿意做"用intendtodo"或desiretodo",而不用wanttodo",wishtodo"；依照合同相关规定"一般说pursuanttoprovisionscontainedherein"或asprovidedherein"等，不说accordingtorelevanttermsandconditionsinthecontract"；合同任何一方当事人不得转让本合同"英文表述为neitherpartyheretomayassignthiscontract"，其中hereto"表示tothecontract"，选用neitherpartytothecontract"较少。
